1. Agreement to Terms

By accessing or using any service, website, platform, or communication channel operated by The Business Club ("Company," "we," "us," or "our") — a trade name of Co-Op Business Club LLC, a Wyoming limited liability company — you ("Member," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use our services.


These Terms apply to all visitors, prospects, members, and others who access or use our services, including the membership funnel and prospect entry point at jointhebusinessclub.com, the member administration portal and legal pages at thebusinessclubadmin.com, AI concierge services (including "Marvin"), CRM access, and any related communications or platforms.


2. Description of Services

The Business Club provides a membership-based business operating system that may include, depending on the tier selected:


Access to a private member community

A GoHighLevel (GHL) CRM sub-account, pre-configured with workflows, pipelines, and automations

Access to the AI Concierge ("Marvin") for qualification, support, and member services

Fractional business services (marketing, operations, sales support) as described in your tier agreement

Pooled local media buying coordination

Access to third-party software tools and integrations at negotiated rates


The specific services included at each membership tier are described in the current Membership Tier Schedule, which is incorporated into these Terms by reference and may be updated from time to time with notice.


3. Membership Tiers and Billing

3.1 Tier Selection

Membership is offered at multiple tiers. The features, pricing, and commitments applicable to your membership are those in effect at the time of your enrollment and as confirmed in your order documentation.

3.2 Recurring Billing

Membership fees are billed on a recurring monthly basis. By enrolling, you authorize The Business Club to charge your designated payment method on the same calendar date each month. Fees are stated in US dollars.

3.3 Price Changes

We reserve the right to change membership pricing with no less than thirty (30) days' written notice to your registered email address. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

3.4 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. We will collect applicable taxes where required by law.


4. Cancellation and Refunds

4.1 Cancellation

You may cancel your membership at any time by submitting a written cancellation request to the email address listed in Section 14. Cancellation takes effect at the end of the current billing period. You will retain access to member services through the end of the paid period.

4.2 Refund Policy

All membership fees are non-refundable except as expressly stated in a written guarantee or promotional offer made at the time of enrollment. Partial-month refunds are not issued.

4.3 GHL Sub-Account

Upon cancellation, your GHL sub-account and all associated data will be retained for thirty (30) days, after which it may be permanently deleted. You are responsible for exporting any data you wish to retain prior to cancellation.


5. Member Conduct

You agree not to use our services to:


Violate any applicable law or regulation

Transmit unsolicited commercial messages (spam) through any platform or tool provided

Misrepresent your identity or business

Interfere with or disrupt the integrity or performance of our services or third-party platforms

Attempt to gain unauthorized access to any system, account, or data

Resell, sublicense, or transfer your membership or GHL sub-account access to any third party without written consent


6. Intellectual Property

All content, materials, workflows, automations, templates, scripts, and systems provided by The Business Club — including but not limited to the GHL Snapshot, Marvin qualifying scripts, and training materials — are the proprietary property of Co-Op Business Club LLC and are licensed to you for use solely within your active membership. You may not copy, distribute, reverse-engineer, or create derivative works from any Company materials without prior written consent.


7. Third-Party Platforms and Services

Our services integrate with or provide access to third-party platforms including GoHighLevel, Meta, Google, and others. Your use of those platforms is governed by their respective terms of service. We are not responsible for the availability, accuracy, or conduct of any third-party platform. Changes to third-party platforms that affect our services do not entitle you to a refund or modification of your membership terms.


8. AI Services — Marvin

The AI Concierge ("Marvin") is provided as a productivity and communication tool. Marvin operates on voice and text channels including phone, SMS, webchat, Facebook Messenger, and Instagram Direct Message. Marvin's responses are generated by artificial intelligence and are not a substitute for professional legal, financial, medical, or business advice. Conversations with Marvin may be recorded and retained for quality assurance, training, and compliance purposes for up to twelve (12) months. We do not warrant the accuracy, completeness, or fitness for purpose of any output generated by Marvin. You use Marvin's outputs at your own discretion and risk.


By initiating a conversation with Marvin via any channel, you consent to the use of AI-generated responses and to the recording and retention of the conversation as described in our Privacy Policy.


9. Affiliate Program

The Business Club operates a two-tier affiliate program. Participation in the affiliate program is governed by the Affiliate Program Agreement, which is incorporated into these Terms by reference and available at thebusinessclubadmin.com/affiliates. Key terms include:


Affiliates earn a 20% recurring commission on all membership fees paid by members they directly refer, and a 5% recurring commission on all membership fees paid by members referred by affiliates they recruited. Commissions are paid on the net collected amount after a 30-day hold period. Affiliates are required to comply with FTC disclosure requirements and may not make income claims without including the required earnings disclaimer language. The Business Club reserves the right to modify or terminate the affiliate program with 30 days' written notice to active affiliates.


Affiliates are independent contractors, not employees, agents, or partners of Co-Op Business Club LLC. Nothing in the affiliate relationship creates any employment, partnership, joint venture, or agency relationship between the affiliate and the Company.


10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CO-OP BUSINESS CLUB LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL MEMBERSHIP FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


12. Indemnification

You agree to indemnify, defend, and hold harmless Co-Op Business Club LLC and its members, managers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the services, your violation of these Terms, or your violation of any rights of a third party.


13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the services shall first be submitted to non-binding mediation. If mediation does not resolve the dispute within sixty (60) days, the dispute shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, conducted in Sheridan County, Wyoming. You waive any right to participate in a class action lawsuit or class-wide arbitration.


14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email to your registered address no less than fourteen (14) days before the changes take effect. Your continued use of the services after the effective date constitutes acceptance of the revised Terms.

These Terms of Service constitute the entire agreement between you and Co-Op Business Club LLC regarding the subject matter herein and supersede all prior agreements, representations, and understandings.
